Axia Business Plus Lifetime License Agreement
Terms and Conditions
- You must have Internet access to download software from our web site
- Each month you must download the latest version of our software,
which may contain updates or a new release.
- On or before the first business day of the month the next software
update will be available for download.
- The Lifetime licence monthly rental payment must be paid in advance
on or before the 25th of the preceding month
- The software is licensed to operate only during the authorised month.
Failure to download the next month's software after a reasonable period
of time will result in the automatic expiration of the previous months
license.
- Access to the latest version of software will be via a secured page,
with a unique usercode and password for each customer. Failure to pay
next months licence agreement by the due date will result in the removal
of this download access.
- In the event that Axia Business Services and/or its representatives
are unable to continue, for whatever reason, to provide monthly releases,
the lifetime licence agreement reverts to a standard licence for that
version of software.
- At any time, you may acquire new modules or network licences by paying
the appropriate monthly rental for the lifetime license agreement of
that module or network license
- The monthly rental fees will not exceed the published figures until
after 31st December 2004, excepting changes in government taxes, statutory
charges and/or third party software licences that directly effect the
delivery and/or operation of our software.
- Should a particular software module be deemed obsolete or amalgamated
with another software module you will be given 6 months clear notice
of our intentions.
- The Lifetime license agreement does not extend to the delivery of
CD's, new manuals or other such materials when published.
- The Lifetime license agreement does not extend to upgrading customised
software or stationery layouts, which may be affected by new updates
or releases.
- Dispute Resolution. In the event that a licensee wishes to dispute
charges, payments, upgrade modifications and/or other issues effecting
and/or relating to their continued provision of the monthly licence
agreement then they must notify Axia Business Services in writing of
the grounds for their dispute and their request for arbitration. During
arbitration the monthly licence agreement will not be withdrawn. It
will continue under the terms and conditions prior to the dispute. That
is, the licensee will continue to pay rent for the revision of software
prior to the dispute for the duration of the arbitration. Axia Business
Services will appoint an independent and qualified arbiter to resolve
any such dispute within 2 weeks of receiving notification. The costs
of employing an independent arbiter incurred by Axia Business Services
will be recovered from the licensee in the event that the arbiter concurs
with Axia Business Services.
- Expiration of Monthly Licence Agreement. On expiration of the monthly
licence agreement the software will continue to operate in a manner
that permits operation of all reporting facilities and viewing of all
data screens. The capacity to enter new data will be disabled.
- 25% Discount on Prepayment of the Monthly Rental. Any customer electing
to prepay 6 months to a maximum of 12 months of their monthly rental,
will be entitled to a 25% discount on the existing monthly rental.
